The disposable capital of a legal person must be taken to be—
such sum as could be withdrawn from the resources of the legal person without substantially impairing its profits or normal development; and
such sum as the legal person could borrow on the security of its resources without substantially injuring its commercial credit or the conduct of its normal activities.
